These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you”, “user”, “client”) and Just A Minute LLC, an Arizona limited liability company (“we”, “us”, “our”, “Company”), concerning your access to and use of our website located at justaminutellc.com (the “Site”) and any services provided through the Site or otherwise (collectively, the “Services”).
By accessing, browsing, or using the Site or Services, or by submitting any information, placing an order, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. 1. Description of Services
Just A Minute LLC provides administrative support services, including but not limited to the preparation of corporate minutes, annual meeting documentation, organizational records, deed preparation for transfers to entities, and related compliance assistance for LLCs, corporations, family limited partnerships (FLPs), S-Corps, C-Corps, and similar business entities.
We are not a law firm. The Services do not constitute legal advice, attorney services, tax advice, or accounting services. All documents and materials we provide are general templates and administrative preparations based on the information you supply. You are solely responsible for reviewing all documents with your own qualified legal, tax, or financial professionals to ensure they meet your specific needs and comply with applicable laws.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts to use the Services. By using the Services, you represent and warrant that you meet these requirements.
3. Client Responsibilities and Provided Information
You agree to provide accurate, complete, and current information when requesting Services.
You are responsible for the accuracy of all information you provide (e.g., entity names, member/manager details, dates, actions taken).
We rely on the information you submit and are not responsible for errors, omissions, or consequences arising from inaccurate or incomplete information.
You warrant that you have the authority to act on behalf of the entity for which Services are requested.
4. Orders and Payment
All orders are subject to acceptance by us.
Fees are listed on the Site or quoted to you. Payment is due in advance unless otherwise agreed.
We accept payment via the methods displayed on the Site.
All fees are non-refundable except as expressly stated in our refund policy (if any) or required by law.
You are responsible for any taxes, duties, or additional charges applicable to your purchase.
5. Intellectual Property
All content on the Site, including text, graphics, templates, forms, and materials we prepare (except for client-specific customizations based on your input), is owned by Just A Minute LLC or its licensors and protected by copyright, trademark, and other laws.
You are granted a limited, non-exclusive, non-transferable license to use documents we prepare solely for your internal business purposes. You may not resell, redistribute, or use them for any other commercial purpose without our written permission.
6. Limitation of Liability
To the fullest extent permitted by law:
The Services and all materials are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses.
In no event shall Just A Minute LLC, its owners, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, even if advised of the possibility of such damages.
Our total liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid us for the specific Services giving rise to the claim in the twelve (12) months preceding the claim.
7. Indemnification
You agree to indemnify, defend, and hold harmless Just A Minute LLC and its owners, officers, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any law or third-party rights; or (d) any information or materials you provide to us.
8. Termination
We may terminate or suspend your access to the Services at any time, without notice or liability, for any reason, including if you breach these Terms.
9. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Arizona, without regard to conflict of law principles. Any disputes arising out of or related to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona. You consent to the personal jurisdiction of such courts.
10. Changes to Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date. Your continued use of the Services after any changes constitutes acceptance of the revised Terms.
